Binance.US is seeking to raise as much as $100 million in a private funding round at a valuation of approximately $1 billion, as the cryptocurrency exchange attempts to rebuild its American operations following years of regulatory challenges and declining market share. The fundraising plans were reported by Bloomberg on October 15, 2026, citing people familiar with confidential discussions. The proposed transaction remains under negotiation, with the final amount, valuation and investor composition subject to change. Binance.US has not publicly confirmed that the fundraising has closed.
The exchange is pursuing additional capital as competition intensifies among US cryptocurrency platforms, with established operators expanding into derivatives, prediction markets and other digital asset services. The proposed valuation represents a substantial reduction from Binance.US’s previous funding round, highlighting the commercial challenges it has faced since 2023.
Valuation Falls Sharply From 2022 Funding Round
Binance.US raised more than $200 million in April 2022 at a pre-money valuation of $4.5 billion, attracting investors during a period of rapid cryptocurrency industry expansion. The approximately $1 billion valuation now being discussed is nearly 78% below that earlier benchmark, although the precise comparison depends on whether the new figure represents pre-money or post-money equity value. If completed, the fundraising would provide additional resources to expand operations, improve liquidity and compete for customers against larger US exchanges. Binance.US launched in 2019 as a separate American platform associated with the global Binance ecosystem.
Although the businesses operate independently, Binance co-founder Changpeng Zhao retains substantial ownership interests in both entities. The US exchange suffered significant disruption following regulatory action against Binance’s international business in 2023. That year, Binance Holdings reached a multibillion-dollar settlement with US authorities over violations involving anti-money laundering controls and sanctions compliance. Binance.US subsequently faced banking difficulties, restrictions on dollar deposits and withdrawals, and reduced trading activity. The company has since worked to restore fiat services and rebuild relationships with financial institutions.
Prediction Markets and State Licenses Feature in Expansion Plans
The reported fundraising forms part of a broader strategy to regain market share in the United States. According to Bloomberg’s reporting, Binance.US is considering expansion into prediction markets while pursuing the restoration of money transmitter licenses in additional states. The exchange is also exploring external liquidity arrangements, potentially involving Binance’s international platform, although no final agreement has been announced. Such arrangements would require careful consideration of applicable regulatory and operational requirements. Bloomberg additionally reported that World Liberty Financial, a cryptocurrency venture co-founded by President Donald Trump and others, was informed about the fundraising.
However, a person familiar with the discussions said World Liberty Financial was not participating in the proposed investment. Representatives of both Binance.US and World Liberty Financial declined to comment. The discussions come as US cryptocurrency companies seek to capitalize on evolving regulatory conditions and growing institutional interest in digital assets. Nevertheless, Binance.US faces substantial competition from established exchanges with larger customer bases, deeper liquidity and broader product offerings. Its ability to regain market share will depend on rebuilding banking access, expanding regulatory coverage and attracting sustained trading activity.
The proposed capital raise could support those objectives, but fundraising alone would not resolve the company’s competitive disadvantages. For investors, the significantly lower valuation illustrates how regulatory setbacks and operational disruption can affect cryptocurrency exchange businesses even when the broader industry continues expanding. The next development will be whether Binance.US secures commitments from investors and finalizes the proposed financing terms.
