Lumentum Stock Rises as Marvell Takeover Talks Put $83…

Lumentum Holdings (NASDAQ: LITE) shares climbed on Thursday after Bloomberg reported that Marvell Technology (NASDAQ: MRVL) was in advanced talks to acquire the optical components maker, potentially creating a major supplier of AI data center chips and optical networking technology. A deal could be announced as soon as next week, according to people familiar with the discussions cited by Bloomberg and Reuters.

The reports put Lumentum’s market value at approximately $83 billion and Marvell’s at about $221 billion. However, neither company had confirmed an agreement, and the reporting did not establish an agreed purchase price, financing structure or transaction terms.

At 1:04 p.m. EDT on Thursday, October 29, Lumentum traded at $935, up 2.30% from Wednesday’s close of $913.95. Marvell was at $219.30 at 1:09 p.m. EDT, down 12.86% from its previous close of $251.65. The different quote timestamps matter, but the contrasting moves show how investors were responding differently to the reported transaction.

The potential acquisition follows a substantial rally in Lumentum stock, which FinanceFeeds has tracked through StoneX’s $1,200 price target and the shares’ advance to $866. The latest report introduces a new question for investors: whether Marvell can finance a transaction of this scale while preserving the financial benefits of its expanding AI infrastructure business.

What the $83 Billion Figure Actually Represents

Bloomberg reported that Marvell was in advanced discussions to acquire Lumentum, with a possible announcement as soon as next week. Reuters subsequently reported the discussions, citing a source familiar with the matter. Neither company commented to Reuters when it published its account.

The $83 billion figure refers to Lumentum’s reported market value, not a confirmed acquisition price. A completed transaction could involve a premium to the prevailing share price, but the available reporting does not establish whether Marvell has proposed a specific premium or what consideration shareholders might receive.

That distinction is especially important following Lumentum’s recent rally. The stock closed at $818.10 on October 26, $866.18 on October 27 and $913.95 on October 28. By Thursday afternoon, it had reached $935. Investors are therefore evaluating the takeover speculation against a share price that had already advanced substantially before the reports emerged.

FinanceFeeds previously examined the momentum behind the shares in Lumentum Stock Rises 8% as StoneX Sets $1,200 Target Ahead of Results and Lumentum Stock Extends Rally to $866 Ahead of Earnings. The reported acquisition adds a potential corporate transaction to the AI-driven demand story that had already supported the stock.

Why Marvell May Need Additional Financing

The funding question is central to the potential deal. Marvell had approximately $3.92 billion in cash and cash equivalents as of its latest reported quarter, according to Reuters. That is a small fraction of Lumentum’s reported market value, although market capitalization is not the same as the eventual cash requirement for an acquisition.

Bernstein analysts said a transaction of this size would likely require additional financing and could create integration challenges. Without a disclosed offer price or transaction structure, it is too early to determine how much debt, equity or other funding Marvell might need, or how the financial burden would be divided.

The potential financing requirements help explain the divergent stock reactions. Lumentum shareholders could benefit from a takeover premium if a binding agreement emerges. Marvell shareholders, by contrast, must consider the purchase cost, potential dilution, additional borrowing and the time required to realize operating benefits.

Following the initial reports on Wednesday, Reuters said Lumentum rose approximately 9% in extended trading while Marvell fell more than 8%. Other reports recorded Lumentum gains of around 11%, with some citing higher intraday extended-hours peaks. By Thursday’s regular session, Marvell was down 12.86% at the 1:09 p.m. EDT quote, while Lumentum remained above its previous close.

Stifel reiterated its Buy rating and $370 price target on Marvell, according to Investing.com. The firm said a transaction would require regulatory approvals in the United States and China. Those approvals would add another layer of uncertainty to the timing and completion of any potential agreement.

The Strategic Case for Acquiring Lumentum

The industrial logic is tied to the growing importance of optical technology in AI infrastructure. Lumentum produces lasers and other optical components used to transmit data across communications networks and data centers. As AI systems scale, moving data rapidly between processors, servers and networking equipment becomes increasingly important.

Marvell already purchases lasers from Lumentum. Acquiring the supplier could give Marvell greater control over an important part of its supply chain while expanding its position in optical networking. It could also support the development of integrated products combining custom AI chips, networking technologies and optical components.

The potential transaction would build on Marvell’s existing expansion into photonics. The company announced a $3.25 billion acquisition of Celestial AI late last year, according to Reuters. Marvell has also raised its fiscal 2028 revenue forecast to $20 billion from $15 billion, citing demand for custom AI chips and networking products used in data centers.

However, strategic overlap does not guarantee a successful acquisition. Marvell would need to integrate Lumentum’s operations, manage the financing and maintain relationships with customers that may also compete with or buy products from other suppliers. Any benefits from improved supply security and broader product offerings would need to justify the purchase cost.

November 5 Earnings Set Up the Next Test

Lumentum is scheduled to report its fiscal first-quarter 2027 results on November 5, according to its investor relations calendar. The earnings release will provide investors with a company-specific update as the takeover speculation develops.

The key indicators include revenue growth, margins, demand for optical components used in AI data centers, production capacity and management’s outlook for future orders. Investors will also want to assess whether the company’s operating performance supports the valuation implied by its recent share-price advance.

The acquisition reports do not replace those fundamental questions. Even if Marvell and Lumentum eventually reach an agreement, the offer terms, financing arrangements, regulatory process and expected completion date would determine the transaction’s implications for shareholders.

For now, Lumentum stock is being influenced by two related but distinct developments: strong demand for optical technology in AI infrastructure and speculation that Marvell may seek to acquire the company. The reported $83 billion market value provides context for the potential scale of the transaction, but it is not an agreed deal price.

Until the companies disclose definitive terms, investors must weigh the possibility of a takeover premium against the risk that negotiations fail to produce an agreement. Lumentum’s November 5 earnings will provide the next opportunity to assess the underlying business while the market waits for greater clarity on the reported discussions.
