Hyperliquid Strategies, the largest publicly traded corporate holder of HYPE tokens, has applied to establish a US-regulated futures commission merchant (FCM) business after reporting $620.6 million in net income for the quarter ended September 30, 2026.
The Nasdaq-listed company, trading under the ticker PURR, disclosed the application alongside its November 5 financial results.
A subsidiary has submitted an application for FCM registration, potentially allowing the company to handle US customer accounts for perpetual futures markets operating on Hyperliquid’s blockchain infrastructure.
The proposed service would support permissioned markets developed under Hyperliquid’s forthcoming HIP-3* framework, subject to regulatory approval. Hyperliquid Strategies emphasized that neither the application’s approval nor the launch timetable is guaranteed.
The initiative would expand the company’s activities beyond holding HYPE tokens into regulated derivatives infrastructure.
HYPE Treasury Gains Drive $620.6 Million Quarterly Earnings
Hyperliquid Strategies reported $620.6 million in quarterly net income, primarily reflecting $803 million in unrealized gains from its HYPE holdings. These gains represent increases in the recorded value of tokens the company continues to hold, rather than proceeds from completed sales.
Operating revenue totaled approximately $13.3 million, including $12.3 million from staking rewards and validator commissions and $1 million in interest income. The company recorded $7.6 million in administrative and research expenses, a $15.3 million expense associated primarily with its equity financing facility, and a $172.3 million income tax provision.
During the quarter, Hyperliquid Strategies raised $911 million through equity financing and deployed approximately $802 million. Of that amount, $785 million funded purchases of approximately 9.1 million HYPE tokens, while $17 million was used to repurchase 2.7 million PURR shares.
Its HYPE holdings increased from approximately 29.3 million tokens at June 30 to 38.52 million at September 30. Those holdings were valued at $3.51 billion using the quarter-end HYPE price of $90.99. The company reported total assets of $3.76 billion, cash and cash equivalents of $254.6 million, shareholders’ equity of $3.40 billion and no debt.
By October 28, its treasury had grown to approximately 38.9 million HYPE tokens, including staking and validator rewards. The company reported a blended acquisition cost of $56.35 per token.
Futures Application Targets Regulated US Perpetual Markets
The FCM application represents an attempt to establish a regulated pathway for US customers seeking exposure to perpetual futures built on Hyperliquid infrastructure. Under the proposed HIP-3* framework, independent operators would develop permissioned trading markets while using Hyperliquid’s blockchain as the underlying technology.
A registered futures commission merchant would handle customer accounts and related intermediary functions. However, FCM registration alone would not authorize the underlying trading venues or their products. Separate regulatory approvals may be required before US customers can access the proposed markets.
The application follows other efforts to introduce Hyperliquid-based derivatives within regulated US financial infrastructure. In October, Intercontinental Exchange, the parent company of the New York Stock Exchange, announced an agreement with Trade[XYZ] to develop US-regulated perpetual futures markets using Hyperliquid technology.
That initiative also remains subject to regulatory approval. For Hyperliquid Strategies, the proposed FCM business could create an additional revenue opportunity beyond staking income and treasury appreciation.
Nevertheless, the company has not disclosed projected customer volumes, expected operating revenue or a launch date. Its financial results also demonstrate substantial exposure to HYPE price fluctuations. Because unrealized token appreciation accounted for most quarterly earnings, future reported profitability could change significantly with cryptocurrency market conditions.
The company’s regulatory application therefore marks a potential operational expansion, while its financial performance remains closely tied to the valuation of its digital asset holdings.
